Membership Agreement and Liability Waiver

019 GOLFHOUSE, INC. MEMBERSHIP AGREEMENT AND WAIVER

By purchasing or paying for any services offered at an 019 Golfhouse, Inc. facility, accessing the 019 Golfhouse, Inc. website, and/or creating an account through the 019 Golfhouse, Inc. website or any affiliated booking application, you (“Member”) affirmatively agree to and are bound by the terms and conditions of this Membership Agreement (“Agreement”). A physical signature is not required for acknowledgment or enforcement of this Agreement. All Members, and all Guests accompanying a Member, are deemed to have accepted and agreed to the terms of this Agreement through the purchasing Member’s actions and access to the facilities.

019 Golfhouse, Inc. (“019 Golfhouse”) is a South Carolina corporation that owns and operates one or more indoor golf simulator locations in the United States (hereafter referred to as the “COMPANY”). You agree that this Membership Agreement is strictly between you and the “COMPANY” where you pay for services. 

1. MEMBERSHIPS

019 Golfhouse, Inc. currently offers per booking, monthly and annual memberships. These memberships are collectively referred to as “Memberships” in this Agreement. A patron must be at least 18 years old to purchase recurring monthly or annual memberships.

2. MEMBERSHIP TERMS

If you choose a Membership, you agree to all Terms and Conditions contained in this Agreement. You authorize 019 Golfhouse, Inc. or its agent to charge your Payment Card for the Membership Fee (plus applicable taxes), on each monthly or annual anniversary date of your membership, until canceled per Section 20 below.

If your Membership begins in the middle of the month it will be prorated and the monthly charge will be processed on the first of every month. You agree to pay all Membership Fees in accordance with your Payment Card issuer agreement. You also authorize 019 Golfhouse, Inc. to charge your Payment Card for any additional fees, including renewal, activation, maintenance, or penalty fees as may be implemented from time to time.

3. MEMBERSHIP BENEFITS

019 Golfhouse, Inc. reserves the sole right to determine the Membership Benefits available to each Member. All Membership Benefits are subject to modification, suspension, or discontinuation at the Company’s discretion at any time. The current Membership Benefits applicable to each Membership tier will be clearly displayed on the Company’s website, and Members are responsible for reviewing these benefits periodically for updates.

4. MEMBER GUESTS

Members may bring up to three (3) guests per visit. Members are fully responsible for the conduct, safety, and compliance of all guests, and acknowledge that all liabilities, obligations, and policies described in this Agreement extend to and are enforceable against the Member for any guest they bring onto the premises. Guests under the age of eighteen (18) must be accompanied by their parent or legal guardian at all times.

Members may not disclose, share, or allow unauthorized use of their access code under any circumstances, nor may they leave guests unattended within the facility.

By bringing guests onto the premises, the Member expressly agrees to indemnify, defend, and hold harmless 019 Golfhouse, Inc., its owners, employees, and agents from any and all claims, demands, liabilities, damages, or causes of action arising from or related to the actions or presence of their guests, including but not limited to claims involving negligence, personal injury, or wrongful death associated with the use of simulators or any facility areas.

5. PAYMENT CARDS

Accepted payment methods include any payment options supported by Square®. By enrolling in a Membership, you authorize 019 Golfhouse, Inc. to charge your designated Payment Card for all applicable fees, including but not limited to renewal fees, activation fees, and maintenance fees. This authorization remains in effect until the Membership is terminated in accordance with this Agreement.

6. PAYMENT

a) MONTHLY BILLING

You are responsible for all fees charged by your Payment Card issuer. Cash or checks are not accepted for monthly billing. If your Payment Card expires or declines, your Membership may be suspended.

b) ANNUAL PAYMENT

Annual Memberships are paid in full with payment options supported by Square ®. Prepaid fees are non-refundable. If paid by an employer, the employer retains rights to the Membership through the paid term if the Member leaves employment.

7. SUSPENSION OR TERMINATION

019 Golfhouse, Inc. may suspend or terminate Membership for non-payment, violation of this Agreement, or any conduct deemed inappropriate. Terminated Memberships are not refundable.

8. DEFAULT

If you default on any payment, 019 Golfhouse, Inc. may declare all future payments immediately due and payable.

9. CHANGES TO POLICIES OR FEES

019 Golfhouse, Inc. may modify Membership fees, benefits, or facility policies at any time. Notice will be provided by email before changes take effect. Continued Membership constitutes acceptance of such changes.

10. MEMBERSHIP CODES

Sharing Membership codes is strictly prohibited. A $100 fee will be assessed for each violation, and repeated offenses may result in termination.

11. HOURS OF OPERATION

019 Golfhouse, Inc. may adjust hours or days of operation at its discretion. Facilities may be busier during peak times.

12. IDENTIFICATION

Members may be required to provide a photo ID for security purposes. Memberships are non-transferable and may only be used by Members in good standing. All guest must p

13. WAIVER AND RELEASE OF LIABILITY

You understand that your use of 019 Golfhouse, Inc. facilities is at your sole risk. You voluntarily assume all risk of injury, illness, or property damage, including theft or loss, arising from use of the facility.

You hereby release and discharge 019 Golfhouse, Inc., its owners, officers, employees, and agents from all claims, damages, or causes of action arising from your use of the premises, whether caused by negligence or otherwise. This release includes any injuries to you or your guests.

14. SAFETY

Members and guests agree to follow all posted and verbal safety instructions, including:

• Hit only from designated hitting mats.
• Only one player may swing at a time within each respective bay.
• Golf clubs are only to be swung within a designed bay and hitting area. Warm up swings outside of a bay are strictly prohibited.
• Always remain behind the hitting area when others are swinging.
• Guests under 18 must be supervised by an adult.
  
  

15. VIOLATION OF RULES

Failure to comply with facility rules may result in suspension or termination of membership without refund.

16. DRESS CODE & CONDUCT

Appropriate attire is required. Spiked shoes, bare feet, or dress shoes are prohibited on hitting mats. Inappropriate or unsafe behavior, foul language, or substance use (including smoking, vaping, alcohol, or drugs) is prohibited and may result in suspension or termination.

17. DAMAGE TO FACILITIES

You agree to pay for any damages to property or equipment caused by you or your guests through negligence or misuse.

18. TEMPORARY CLOSURE

019 Golfhouse, Inc. may temporarily close facilities for maintenance, private events, or safety reasons (including weather). Members must comply with all staff instructions during such closures.

19. TERMINATION BY 019 GOLFHOUSE

019 Golfhouse, Inc. may terminate this Agreement immediately upon written notice for breach or with 30 days’ notice without cause.

20. TERMINATION BY MEMBER

Members may terminate their Membership with thirty (30) days’ written notice. For Memberships with a twelve (12) month commitment, early termination will result in a fee equal to two (2) months of dues unless the Member transfers their Membership to another individual with no lapse in the monthly commitment. Monthly Memberships terminated with proper notice will remain active through the thirty (30) day notice period.

21. LIMITATION OF LIABILITY

Recovery for any breach of this Agreement shall be limited to the total amount paid by the Member to 019 Golfhouse, Inc. for services rendered during the preceding six (6) months. In no event shall 019 Golfhouse, Inc. be liable for any incidental, consequential, special, or punitive damages arising out of or related to this Agreement or the use of the facilities.

22. USE OF THE 019 GOLFHOUSE NAME, LOGO, OR IMAGES

Use of 019 Golfhouse branding, logos, or imagery for any promotional or public purpose requires prior written consent. Unauthorized use implying sponsorship or endorsement is strictly prohibited.

23. ANNUAL MAINTENANCE FEE

To maintain facility and equipment quality, 019 Golfhouse, Inc. charges a $99 Annual Maintenance Fee each December, billed to the Member’s payment method on file.

24. MISCELLANEOUS

Security cameras are in operation throughout the property for safety, security, and policy enforcement. By entering the premises, all Members acknowledge and consent to being recorded. Recorded footage may be reviewed and used by 019 Golfhouse, Inc. for purposes including, but not limited to, investigating incidents, enforcing policies, and terminating Memberships for negligence, misconduct, harm, or destruction of property.

Alcohol Policy: Beer and wine may be consumed on the premises in accordance with all applicable laws and responsible-use guidelines. The possession or consumption of liquor or distilled spirits is strictly prohibited. Any violation of this policy may result in immediate suspension or termination of Membership without refund, at the sole discretion of 019 Golfhouse, Inc.

Non-Waiver: No waiver of any provision shall constitute a continuing waiver.

Assignment: 019 Golfhouse, Inc. may assign this Agreement. Members may not.

Governing Law: This Agreement shall be governed by the laws of the State of South Carolina, with venue proper in the appropriate court of jurisdiction in South Carolina.

Invalid Provisions: If any provision is found unenforceable, the remainder shall remain valid.

Entire Agreement: This Agreement constitutes the full understanding between Member and 019 Golfhouse, Inc., superseding any prior agreements.
